Prospectus requirements relaxed early

The Prospectus Regulations 2011 made two important deregulatory changes to the circumstances in which a prospectus must be published when securities are offered to the public or admitted to trading on a regulated market. The regulations amended the Financial Services and Markets Act 2000 by:

  • increasing from €e2.5m (£2.2m) to e5m the limit for the total consideration of an offer in the EU where a prospectus is not required;
