Clarification on decision-making by sole director

After the uncertainty caused by two earlier decisions, the High Court has clarified the powers of a sole director to act on behalf of a company that has adopted the Model Articles in Re KRF Services.

The uncertainty arose out of the interaction between two key provisions of the Model Articles for private companies limited by shares, under The Companies (Model Articles) Regulations 2008, namely:
