Court orders rectification of agreement

Courts are generally reluctant to interfere with commercial agreements negotiated between well-advised parties. However, in certain circumstances they may be prepared to step in and correct a mistake, as was the case in Persimmon Homes Limited v Hillier [2018] EWHC 221 (Ch). The High Court rectified a share purchase agreement to include two properties in the warranties, despite the properties not being owned by the target group of companies being acquired.
