Case: General principles relating to directors’ duties

Earlier this year in Fairford Water Ski Club Ltd v Cohoon & ors [2020] EWHC 290 Comm the High Court considered the legal principles relating to directors’ duties.

Directors’ duties

All directors owe duties to their company. Although directors are subject to certain specific duties under various pieces of legislation, they are also subject to seven over-arching general duties set out in the Companies Act 2006 which apply to all their activities.

These seven general duties are a statutory codification of the common law fiduciary duties which evolved in case law over many years.
