Legal Updates: June 2020

In this month’s legal updates, Sophie Brookes of Gately Legal considers the issues surrounding new legislation for AGMs and company filings, completion warranties and the meaning of ‘meeting’ in times of social distancing

Legislation: Company meetings and filings during lockdown:

In late March the government announced that it would be introducing legislation to help alleviate the practical difficulties that companies have faced when holding shareholder meetings under the Covid-19 lockdown. On 20 May the draft legislation, the Corporate Governance and Insolvency Bill 2019-21, was finally published.

At the time of publication, the legislation is still in draft form and it may change as it completes its passage through parliament.
