Property transfer not validly authorised

Although a company has a separate legal personality, it is not a sentient being and so can only act through its agents: its board of directors. The general rule for decision making by directors is that they do so collectively, usually by a majority decision taken at a board meeting. So board meetings and minutes of the business transacted at those meetings, are an important step in considering whether the actions of a company have been properly authorised and are valid.
