It is not uncommon for buyers acquiring a business to carry out some form of post-completion reorganisation. However, the recent case of Moughadam v Bugg [2013] EWHC 461 (Ch) demonstrates the need for buyers to bear in mind the potential impact that any such reorganisation may have on any continuing obligations under the related sale agreement.
