Meaning of goodwill in SPA limitation of liability

The Court of Appeal has considered the meaning of the word ‘goodwill’ in the context of a limitation of liability clause in a share purchase agreement, holding that it should be given its ordinary legal meaning of the good name and public reputation of the business concerned, rather than any specific accounting meaning.
