Case: buyer’s tax claim fails due to ineffective notice

On the sale of a company, the seller will usually give various warranties and covenants about the state of that company. If one of those warranties or covenants is breached, the buyer may be able to bring a claim against the seller to recover its loss incurred due to that breach.
