Consultation on limited partnerships and private equity funds

As the private equity industry took off in the latter half of the 20th century, the UK limited partnership became the market standard structure for European funds.

A limited partnership offers flexibility in terms of its internal constitution and is transparent for UK tax purposes. Crucially, it also enables investors to benefit from limited liability status in return for not taking part in the management of the limited partnership.
