Miscellaneous reporting regulations: directors’ duties and pay

Corporate governance rules are being tightened up with the introduction of the Companies (Miscellaneous Reporting) Regulations 2018 from January 2019. David Duvall FCA explains the new responsibilities for directors and executive pay reporting requirements

As part of its ongoing intention to make corporate governance more robust and transparent, the government has issued the Companies (Miscellaneous Reporting) Regulations 2018 (Statutory Instrument 2018 / 860).

The main aims of the regulations are to:

•             require directors of larger companies to explain how they have satisfied the statutory requirement in s172 Companies Act 2006 (CA 2006) to ‘promote the success of the company’;

•             extend the requirement for companies to communicate their corporate governance arrangements to large private companies; and
