Companies Act: share capital and merger relief - part 2

In the Companies Act, sections 611–615 provide reliefs from the requirement to allocate the premium paid to a share premium account in cases of group reconstructions and certain acquisitions or mergers involving share for share exchanges.

Group reconstruction relief

Section 611 extends the relief to group reconstruction and is based on the principle that assets are often transferred within a wholly owned group at book value, thus avoiding the need to recognise any unrealised gain or loss arising.
