Warranty notice lacking in share purchase agreement

In Teoco UK Limited v Aircom Jersey 4 Limited [2018] EWCA Civ 23 the Court of Appeal considered the provisions of a share purchase agreement and upheld an earlier High Court decision that a buyer had failed to comply with the contractual requirements relating to a warranty claim.

In 2013, Teoco (buyer) and Aircom (seller) entered into a share purchase agreement. The buyer issued proceedings against the seller claiming damages for breach of warranty relating to tax owed by subsidiaries in Brazil and the Philippines.
