Companies Act 2006 Part 5: naming a company

This article, the fifth in our series on the Companies Act 2006, will focus on company names and the implications surrounding prohibited and similar names and the process of changing a company name

Part 5 of the Companies Act deals with company names and it starts with a section on prohibited names. It is not easy to find a name for a company which the Registrar will approve. If a proposed name is offensive,is a ‘sensitive’ word or expression, gives a misleading impression of the status of the company, or is the same as, or too similar to, another companyʼs name, the Registrar may refuse to register the name and the company. The same applies if a company wishes to change its name.

The only specifically prohibited category of names are those that are offensive or whose use would constitute an offence .
